1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

• “Gemilang”, “we”, “us”, “our” — refers to Gemilang, a business advisory practice based at Lot 12, Jalan Burma, 10050 George Town, Pulau Pinang, Malaysia.
• “You”, “User”, “Client” — any individual or entity accessing our website or engaging our services.
• “Services” — the business advisory services we offer, including the Taking Root Review, Branching Out Advisory, and Full Canopy Programme.
• “Website” — the website at gemilangq.club.
• “Agreement” — these Terms and Conditions, together with any service engagement letter or written agreement between the parties.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.

Our services are available to individuals aged 18 years or older who have the legal capacity to enter a binding agreement under Malaysian law.

3. Description of Services

Gemilang provides business advisory services to small business owners in Malaysia. Our current service offerings are:

• Taking Root Review — A single advisory session with a written summary. Fee: RM 570.
• Branching Out Advisory — Two sessions, a written growth plan, and one follow-up review. Fee: RM 1,270.
• Full Canopy Programme — An ongoing monthly advisory relationship. Fee: RM 2,010 per month.

Sessions may be conducted in person at our George Town office or online, by agreement. We reserve the right to modify our service offerings and fees at any time, with reasonable notice to existing clients.

4. User Responsibilities

When using our website or services, you agree to:

• Provide accurate and truthful information when contacting us or engaging our services
• Use the website and its content only for lawful purposes
• Not attempt to gain unauthorised access to our systems or data
• Not reproduce, distribute, or use our written advisory outputs for commercial purposes without our written consent
• Attend or reschedule sessions with reasonable notice (we ask for at least 48 hours’ notice where possible)

5. Intellectual Property

All content on our website — including text, design, and structure — is owned by Gemilang and protected under applicable Malaysian intellectual property laws. You may not reproduce, publish, or distribute this content without our prior written consent.

Written advisory documents and session summaries we produce for you are intended for your personal or business use only. They may not be shared commercially or attributed to a third party without our permission.

6. Payment Terms

All fees are quoted in Malaysian Ringgit (RM) inclusive of applicable taxes. Payment terms will be confirmed at the time of engagement.

For the Taking Root Review and Branching Out Advisory, payment is typically required before or at the time of the first session. For the Full Canopy Programme, invoices are issued monthly and are due within 14 days of the invoice date.

If you need to cancel or reschedule an engagement, please contact us as early as possible. Cancellations made with fewer than 48 hours’ notice may not be eligible for a full refund of any session fee paid. We will consider requests for refunds on a case-by-case basis.

7. Nature of Our Advisory Services

Our advisory services are designed to support business owners in thinking through decisions, understanding their business position, and considering options. They do not constitute legal, accounting, financial, tax, or regulatory advice.

We will tell you clearly when a question falls outside the scope of business advisory and recommend that you consult an appropriate licensed professional. Any suggestions we make are offered in good faith based on the information you share with us, and are not commitments or forecasts of specific outcomes.

8. Disclaimers

Our website and services are provided in good faith and on an “as available” basis. We make no representations or warranties — express or implied — about the accuracy, completeness, or suitability of any content on the website for a particular purpose.

We cannot control the actions you take based on advisory conversations or written documents, and we are not responsible for decisions made by you or their outcomes.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, Gemilang shall not be liable for any indirect, consequential, incidental, or special loss or damage arising from your use of our website or services, including but not limited to loss of business, loss of revenue, or loss of anticipated savings.

Our aggregate liability for any claim arising out of a service engagement shall not exceed the total fees paid by you to us in the six months preceding the claim.

10. Confidentiality

We treat all information you share with us during advisory engagements as confidential. We will not disclose your personal or business information to third parties without your written consent, except where required by law.

We may share anonymised, non-identifying summaries of engagement themes internally for the purpose of improving our services.

11. Termination

Either party may end an ongoing engagement by giving 30 days’ written notice. For the Full Canopy Programme, notice should be given before the next monthly billing date to avoid being charged for that month.

We reserve the right to suspend or end our engagement with you if you breach these Terms and Conditions or if we determine that continuing the engagement would be inappropriate.

12. Governing Law and Disputes

These Terms and Conditions are governed by the laws of Malaysia. Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating formal proceedings, we ask that you contact us directly to seek an informal resolution. We will make reasonable efforts to address your concern promptly.

13. Changes to These Terms

We may update these Terms and Conditions from time to time. The “Last updated” date at the top of this page will reflect any changes. Continued use of our website or services after an update constitutes acceptance of the revised terms.

For significant changes affecting existing service engagements, we will provide notice to affected clients by email.
